1. Acceptance of these terms
These Terms & Conditions govern access to and use of Exact LIMS, its website, hosted application, implementation services, support, and related features provided by Quickint Solutions. By creating an account, signing an order form, or using the service, you confirm that you have authority to accept these terms for yourself or the organization you represent.
If a separate signed agreement or order form conflicts with these terms, the signed agreement or order form controls for that conflict.
2. The Exact LIMS service
Exact LIMS is a cloud-hosted laboratory information management system designed to support customer and sample registration, test allocation, quality control, result review, reporting, invoicing, audit trails, and related laboratory operations.
Features, configurations, integrations, storage limits, support levels, and usage allowances may depend on the subscribed plan or order form. We may improve or update the service provided that we do not materially reduce the core functionality purchased during an active subscription without reasonable notice.
3. Accounts and authorized users
The customer is responsible for identifying authorized users, assigning appropriate roles and permissions, keeping account information accurate, and protecting login credentials.
- Use strong passwords and keep credentials confidential.
- Promptly remove access for users who no longer require it.
- Notify us without undue delay if unauthorized access or credential compromise is suspected.
- Remain responsible for activity performed through customer-managed accounts unless caused by our breach of these terms.
4. Customer data and laboratory responsibility
The customer retains ownership of data submitted to Exact LIMS, including laboratory, customer, sample, method, result, report, billing, and user data. The customer grants Quickint Solutions the limited right to host, process, back up, transmit, and display that data only as needed to provide, secure, support, and improve the service or as otherwise instructed by the customer.
Exact LIMS supports laboratory workflows but does not replace professional judgment, method validation, instrument calibration, quality assurance, regulatory review, or final authorization by qualified personnel. The customer is responsible for data accuracy, configured calculations and limits, approved reports, legal retention requirements, and decisions made from system outputs.
5. Acceptable use
You may use Exact LIMS only for lawful business purposes and in accordance with applicable laboratory, privacy, employment, tax, and record-keeping obligations.
- Do not access systems, accounts, or data without authorization.
- Do not upload malicious code, disrupt availability, or bypass security controls.
- Do not reverse engineer, resell, sublicense, scrape, or copy the service except as allowed in writing or by law.
- Do not store unlawful, infringing, deceptive, or harmful content.
- Do not submit sensitive personal data unless it is necessary, lawful, and protected appropriately.
6. Subscriptions, fees, and taxes
Subscription fees, implementation charges, billing frequency, usage limits, renewal terms, and payment dates are stated in the applicable quotation or order form. Unless stated otherwise, fees are exclusive of applicable taxes, including GST, and are non-refundable once the relevant subscription period or service has begun.
Late or undisputed unpaid amounts may result in restricted access or suspension after reasonable notice. Changes to pricing apply at renewal or as otherwise agreed in writing.
7. Implementation, support, and integrations
Implementation timelines depend on timely customer cooperation, configuration decisions, clean source data, and access to relevant personnel or third-party systems. The customer is responsible for reviewing migrated data and approving configurations before production use.
Third-party services, instruments, payment providers, messaging services, and integrations are governed by their own terms. We are not responsible for third-party changes, outages, or data practices, but will provide reasonable assistance for supported integrations.
8. Security, confidentiality, and privacy
Each party will protect the other party's confidential information using reasonable care and use it only for this business relationship. This does not apply to information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.
We maintain reasonable safeguards appropriate to the service. No internet-based service is completely secure, and customers must also maintain suitable endpoint, network, access, backup, and internal security controls. Our handling of personal information is described in the Exact LIMS Privacy Policy.
9. Intellectual property
Quickint Solutions and its licensors retain all rights in Exact LIMS, including its software, designs, documentation, trademarks, workflows, and improvements. Subject to payment and compliance with these terms, the customer receives a limited, non-exclusive, non-transferable right for authorized users to access the service during the subscription term.
We may use suggestions or feedback to improve our products without restriction or payment, provided we do not identify you or disclose customer confidential information without permission.
10. Availability and warranties
We will use commercially reasonable efforts to keep the service available, subject to planned or emergency maintenance, infrastructure failures, third-party outages, force majeure events, and circumstances beyond reasonable control.
Except for commitments expressly stated in a signed agreement, the service is provided on an 'as available' basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential losses, or for loss of profits, revenue, goodwill, or anticipated savings. Quickint Solutions' total aggregate liability arising from the service will not exceed fees paid or payable for the affected service during the twelve months immediately before the event giving rise to the claim.
These limits do not exclude liability that cannot lawfully be limited or obligations concerning fraud, wilful misconduct, confidentiality, intellectual property infringement, or payment of undisputed fees where applicable law requires different treatment.
12. Suspension and termination
We may suspend access when reasonably necessary to prevent security harm, unlawful use, material disruption, or continued non-payment, and will provide notice when practicable. Either party may terminate for a material breach that remains uncured after reasonable written notice, or as stated in an order form.
After termination, access ends and outstanding amounts become due. On timely request, we will provide a reasonable export of available customer data in a supported format, subject to payment and technical feasibility. We may then delete data according to retention practices and legal obligations.
13. Governing law and changes
These terms are governed by the laws of India. The parties will first attempt in good faith to resolve disputes through written notice and discussion. Unless a signed agreement provides otherwise, courts with jurisdiction in Ahmedabad, Gujarat will have exclusive jurisdiction, subject to rights that cannot be waived under applicable law.
We may update these terms to reflect changes in the service, law, security practices, or business operations. We will post the revised version with a new effective date and provide additional notice when a change materially affects active customers.
